1. Parties

This Distance Agreement (‘Agreement’) is made by and between Corpera Turizm Yatırımları Anonim Şirketi registered at Evliya Çelebi Mah. Meşrutiyet Cad. No.56 Beyoğlu/Istanbul under MERSIS No 0612056449400012 (‘Soho House’) and the member who applied for membership on Soho House’s website (‘Member’).

2. Subject

This Agreement defines the terms and conditions related to the social and recreational services to be provided to the Member by Soho House at its Soho House Hotel and Club premises located at Evliya Çelebi Mah. Meşrutiyet Cad. No.56 Beyoğlu/Istanbul (‘Club’).

3. Membership Category, Membership Fee and Payment Method

Membership Category, Membership Fee, Registration Fee, Total Amount to be Paid and Payment Method are indicated at Soho House’s website. The Member determines the Membership Category and the annual or monthly Payment Method at the time of applying for membership through the Soho House’s website and shall be deemed to be accepted the Membership Fee, the Registration Fee and the Total Amount to be Paid in conformity with the Membership Category. The Membership Categories, the Membership Fee, the Registration Fee, the Total Amount to be Paid, and the Payment Method have the same meaning under this Agreement. Soho House will provide the Member with the services in accordance with the Membership Category determined by the Member, and the terms and conditions set forth in this Agreement.

4. Start of Membership

The acceptance of a membership application made by the Member on the Soho House website shall be subject to the written approval of Soho House. Soho House has exclusive discretion in granting such approval. Upon approval of the membership application by Soho House, Soho House will inform the Member in writing. If the Member has determined the annual Payment Method during the application for membership, the membership shall begin upon the payment of the Total Amount to be Paid consisting of the Membership Fee and the Registration Fee. If the Member has determined the monthly Payment Method during the application for membership, the membership shall begin upon the payment of the first instalment of the Total Amount to be Paid consisting of the Membership Fee and the Registration Fee. If the payment is not made according to the Payment Method determined by the Member, the Member has no right to access the Club.

5. Payment and Renewal of Membership

5.1. The Member agrees, and declares that upon acceptance of the membership application by Soho House, that the Membership Fee and the Registration Fee can be collected by use of his/her debit-card and/or credit-card information provided when applying for membership on Soho House’s website.

5.2. If the Member does not inform Soho House that he/she wishes to terminate his/her membership by email to istanbul.membership@sohohouse.com until 15 days prior to the end of each membership period; the membership shall be renewed automatically and annually at the end of each period, provided that the membership fee can be collected.

5.3. Soho House may, at its sole discretion, change membership fee for the renewal term and may impose an additional payment obligation.

5.4. If the Member pays the membership fee through any intermediary institution (‘Intermediary Institution’) authorised by the relevant legislation, including but not limited to the bank, payment institution and payment systems, and/or the Member provides his/her debit-card and/or credit-card information when applying for membership on Soho House’s website through the Intermediary Institution for the purposes of collection of the Membership Fee and the Registration Fee, the Member hereby consents that his/her bank card and/or credit card (‘Card’) information (‘Payment Information’) used in issuing the payment order and/or verifying the identity of the user and/or provided when applying for membership on Soho House’s website can be retained, processed, recorded, stored, forwarded to third parties within the country and abroad for the purpose of the collection of the monthly and annually membership fee, the membership fee for the renewal period, any supplementary payment obligations and/or the fees for the additional goods and services. The Member further accepts, declares and undertakes that he/she agrees on the collection of the monthly and/or annual membership fee, the membership fee for the renewal period, any supplementary payment obligations and/or the fees for the additional goods and services by use of his/her Payment Information.

5.5. In the event that the monthly or annual membership fee, renewal term membership fee and/or supplementary payment obligations cannot be collected by Soho House by using the Payment Information for any reason, including cancellation of the Card, insufficient balance, and invalidity of the Payment Information; the Member agrees to realise such payment at latest within seven days from the date of notifying him/her that the Payment Information is invalid, and accepts the use of the payment information provided for the realisation of the payment in accordance with Article 5.4.

5.6. If the monthly payment has been preferred by the Member and the payment obligation has not been fulfilled within the period given in accordance with Article 5.5, Soho House shall be entitled to terminate the Agreement unilaterally and to collect the total remaining amount from the Member.

5.7. If the annual Payment Method has been preferred by the Member and the payment obligation of the membership fee for the renewal period has been fulfilled within the period given in accordance with Article 5.5, his/her membership shall be deemed to be renewed for a period of one year from the date of expiration of the previous period, and the existing member status of the Member shall be maintained. If the Member fails to fulfil the payment obligation within the period given under Article 5.5, the existing membership of the Member shall be terminated. If the member requests the continuation of his/her membership at any time after the end of this period, he/she shall be obliged to pay the membership fee as well as the current registration fee and shall be entitled to membership as of the date of payment with the new member status.

5.8. In the case of termination of the Agreement by the Member prior to the end of the membership period, the portion of the remaining period of the amount paid by the Member shall be returned by Soho House within 15 days from the date of termination.

5.9. The Member has the right to; a) Learn whether or not her/his Payment Information has been processed; b) Request information as to processing if her/his Payment Information has been processed; c) Learn the purpose of processing of the Payment Information and whether Payment Information has been used in accordance with purpose; d) Know the third parties in the country or abroad to whom the Payment Information have been transferred; e) Request rectification in case the Payment Information is processed incompletely or inaccurately; f) Request deletion or destruction of the Payment Information within the framework of the conditions set forth under article 7; g) Request notification of the operations made as per indents (e) and (f) to third parties to whom the Payment Information has been transferred; h) Object to occurrence of any result that is to her/his detriment by means of analysis of the data exclusively through automated systems; i) Request compensation for the damages in case the person incurs damages due to unlawful processing of personal data, by applying to Soho House.

6. Obligations

The Member agrees to duly comply with the Agreement, the Terms and Conditions at http://www.sohohouse.com/terms-and-conditions-istanbul
the House Rules at http://www.sohohouse.com/terms-and-conditions-istanbul/house-rules, the Privacy Policy at http://www.sohohouse.com/terms-and-conditions-istanbul/privacy-policy and the Cookie Policy at http://www.sohohouse.com/terms-and-conditions-instanbul/cookie-policy (collectively ‘Rules’). Failure to do so, at the discretion of Soho House, may lead to suspension or termination of the membership.

7. Contact Person

If the Member notifies Soho House in writing, the contact person (‘Contact Person’) of whom is authorised to contact Soho House on his/her behalf in connection with the booking, the reception of the event information, the use of the Club, etc., the Member agrees that Soho House may act according to the request of the Contact Person and may share the personal information about the Member with the Contact Person. In case the Member wishes to change the Contact Person or terminate the authorisation of such person, he/she should notify Soho House in writing. Soho House shall not have any responsibility for providing information about the Member to the Contact Person, unless written notice is given in this context.

8. Electronic Message Confirmation

The Member accepts and declares that he/she consents to Soho House delivering messages with regard to the membership subject to the Agreement, the activities and any services under the Agreement through telephone, email and/or text message in accordance with the Law on Regulation of Electronic Commerce No 6563 dated 23 October, 2014 to his/her contact addresses that he/she has provided when applying for membership on Soho House’s website or he/she has given at any time to Soho House.

9. Confirmation of Processing of Personal Data

Personal data shared by the Member will be processed by Soho House. The purposes for processing personal data; the reasons it may transferred, and to whom; and the method and reason for the collection of personal data, and the rights of the individual to whom the personal data is processed under the Law on the Protection of Personal Data No. 6698 dated 24 March, 2016, are explained in the Privacy Policy at http://www.sohohouse.com/terms-and-conditions-istanbul/privacy-policy.

The Member accepts and declares that he/she confirms the collection, recording, storage, preservation, disclosure of the personal data he/she shared with Soho House, transfer of his/her personal data to our main shareholders, our direct/indirect domestic/foreign subsidiaries; program partner organisations, domestic/foreign organisations that we receive services to conduct our activities and our collaborations and other third persons. The Member accepts and declares that the processing and transfer of his/her personal data by Soho House, as set forth in this article, shall not constitute a breach of the Law on the Protection of Personal Data.

10. Governing Law

The Rules shall be governed by the laws of the Republic of Turkey. Any dispute, claim or other matters in question between parties arising out of or in connection with the Rules will be resolved by Istanbul Central (Caglayan) Courts and Execution Offices. The Member may make applications regarding the disputes to the consumer court or the arbitration committee for consumer problems.

11. Entire Agreement

The Terms and Conditions, House Rules, the Privacy Policy and the Cookie Policy are integral part of this Agreement. In the absence of provision in the Agreement, the provisions stated in the Terms and Conditions, the House Rules, the Privacy Policy and the Cookie Policy shall apply. However, if there is any inconsistency between the Agreement and the Terms and Conditions, the House Rules, the Privacy Policy, or the Cookie Policy, the Agreement shall prevail.

12. Information that the Right of Withdrawal Cannot Be Used

Pursuant to Article 15 of the Regulation on Distance Contracts regarding the exception to the right of withdrawal, the Member is not entitled to right of withdrawal due to the fact that the Agreement falls within the scope of contracts related with accommodation, procurement of food and beverage, which should be executed within certain period and contracts concluded with the aim of entertainment or resting in order to utilise the spare time.
